(i)   Approval of Preliminary Official Statement and Official Notice of Sale and authorize distribution of same;

(ii)  Authorize the Township's Financial Advisor to advertise for the sale of the Refunding Bonds;

(iii)  Establish parameters for sale of the Refunding Bonds pursuant to Texas Government Code, Section 1207.007; 

(iv)  Approval of one or more Order(s) authorizing the issuance of the Refunding Bonds; including delegation of authority pursuant to Texas Government Code, Section 1207.007;

(v)  Authorize the Township's consultants to proceed with the preparation of a final Plan of Financing in connection with the Refunding Bonds;

(vi) Approval and execution of one or more Paying Agent(s)/Registrar Agreement(s) by and between the District and Bank of New York Mellon Trust Company, N.A. in connection with the Refunding Bonds;

(vii) Approval and execution of one or more Escrow Agreement(s) by and between the District and Bank of New York Mellon Trust Company, N.A. in connection with the Refunding Bonds;

(viii) Authorize completion and distribution of a Final Official Statement in connection with the Refunding Bonds;

(ix) Authorize issuance of check for Attorney General fees in connection with the Refunding Bonds;

(x) Authorize any other matters concerning the Refunding Bonds, including approval and execution of various documents for inclusion in the transcript of proceedings to be submitted to the Attorney General of the State of Texas;

(xi) Authorize designated Township officer(s) or employee(s) to:
  a. Execute Pricing Certificate relative to the Refunding Bonds;
  b. Authorize disbursement of proceeds relative to the Refunding Bonds;
  c. Authorize execution of closing documentation relative to the Refunding Bonds;
  d. Authorize execution and filing of Internal Revenue Service reporting forms relative to the Refunding Bonds;
  e. Authorize the Township's disclosure counsel to file material events notices relative to the bonds to be refunded by the Refunding Bonds;
   f. Authorize such other matters and take any other necessary action relating to the issuance of the Refunding Bonds.
